1. Eligibility

You must be at least 18 years old and legally able to enter into contracts. You represent that you are using the Service for business or professional purposes.

2. Description of Service

MAIRA is an AI-powered assistant for real estate professionals that provides tools including:

• Client and appointment management
• Calendar integrations (e.g., Google Calendar)
• Voice interactions, summaries, and call handling
• Document drafting and content generation

MAIRA integrates with third-party services you connect to enhance functionality.

3. No Brokerage, No Agency, No Professional Advice

REALLM Realty, Inc. and the MAIRA Service are not a real estate brokerage, agent, fiduciary, or legal advisor.

Using the Service does not:

• Create a real estate agency relationship
• Create a client relationship between REALLM Realty, Inc. and your buyers/sellers
• Replace professional review or required disclosures
• Guarantee accuracy or legal sufficiency of AI-generated content

AI-generated output may be inaccurate or incomplete and should not be relied upon without independent verification.

MAIRA is not affiliated with or endorsed by any MLS, and REALLM Realty, Inc. is not responsible for MLS compliance failures.

You are solely responsible for:

• All real estate advice you provide
• All documents and communications you send
• Compliance with state, federal, MLS, and brokerage rules
• Ensuring accuracy of contracts, disclosures, and client information

4. Third-Party Services

The Service integrates with third-party platforms such as Google Calendar.

Your use of Google API Services is subject to:

We are not responsible for third-party failures, outages, or data handling practices.

5. User Content & License

5.1. Your Content

You retain ownership of all content you submit, including:

• Client data
• Property details
• Notes, tasks, messages
• Document drafts
• Call audio and transcripts

5.2. License You Grant to Us

To operate the Service, you grant REALLM Realty, Inc. a worldwide, non-exclusive, royalty-free license to:

• Use, store, process, host, modify, and display your content
• Generate AI outputs based on that content
• Provide support, security, troubleshooting, and operational functionality

5.3. Use for Improvement

We may use de-identified and aggregated content and usage data to improve the Service.

We do not use Google Calendar data for general AI training.

6. Accounts & Subscriptions

You must provide accurate information when creating an account.

Subscription terms, pricing, and billing are provided at purchase. We may update pricing with reasonable notice.

Failure to pay may result in suspension or cancellation.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Upload harmful or unauthorized content
• Interfere with the Service or its infrastructure
• Attempt to access others' data
• Use the Service to violate privacy, MLS rules, or real estate laws

We may suspend or terminate your account for violations.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF AI-GENERATED CONTENT

We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your performance expectations.

We do not guarantee uninterrupted or error-free uptime, or compatibility with any third-party systems.

10. Limitation of Liability

To the fullest extent permitted by law:

• REALLM Realty, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• REALLM Realty, Inc.'s total liability for all claims in any 12-month period shall not exceed the greater of:
  • the amount you paid to us in that period, or
  • $100.

Some jurisdictions do not allow limitations of liability. If so, these limits apply to the maximum extent allowed.

11. Indemnification

You agree to indemnify and hold REALLM Realty, Inc. harmless from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your clients' or leads' data
• Your real estate activities
• Violations of laws, MLS rules, or brokerage policies
• AI-generated content you use without proper review

12. Termination

We may suspend or terminate your account at any time for violations of these Terms or to protect the Service.

You may stop using the Service at any time.

Upon termination, certain rights and obligations survive, including ownership, indemnity, warranty disclaimers, and liability limits.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware and the United States.

Exclusive venue for disputes is in Delaware, unless otherwise required by law.

14. Beta & Early Access Features

Some features may be labeled "beta" or "experimental." These features may change, break, or be removed at any time. We do not guarantee their availability, functionality, or continued support.

15. Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance of the updated Terms.
